Terms of Service

These Terms of Service ("Terms") govern the use of Vantra, an AI-powered customer service and business operations assistant for small and medium-sized businesses (the "Service"), between the Service provider and the business customer subscribing to the Service (the "Partner").

2. Description of the Service

Vantra is an AI-powered customer service and business operations assistant. On behalf of a Partner, Vantra processes incoming messages (email, Facebook Messenger), uses artificial intelligence (via the Anthropic Claude API) to draft or send responses, and manages calendar bookings — either automatically or subject to the Partner's manual approval, depending on the Partner's configuration. 3. Formation of the Agreement

The agreement between the Partner and the Service provider is formed upon the Partner's registration, selection of a plan (Basic, Webshop, or Custom), and confirmation by the Service provider. The agreement is for an indefinite term with a monthly billing cycle.

5. Provision of the Service

The Service provider aims to provide continuous, uninterrupted access to the Service but does not fully guarantee this, given the Service's reliance on third-party services (including but not limited to the Google Gmail/Calendar API, the Facebook Messenger Platform, the Anthropic Claude API, and the hosting provider), whose availability is outside the Service provider's control.

The Service provider is not responsible for the substantive accuracy of AI-generated responses in cases where the Partner has selected automatic (non-approval) sending mode. The Service provider recommends using approval-required mode for sensitive or complex customer communications.

6. Limitation of Liability

The Service provider's liability is limited to direct damages caused intentionally or through gross negligence in the provision of the Service, and does not extend to lost profits, indirect damages, or claims arising between the Partner and the Partner's own customers. The Service provider's total liability shall not exceed the amount paid by the Partner for the billing period in which the relevant event occurred.

8. Intellectual Property

All software components of the Service, the Vantra brand name, logo, and related intellectual property rights belong to the Service provider. Use of the Service does not grant the Partner any ownership or license rights in the underlying technology, other than the right to use the Service as intended for the duration of the agreement.

Data processing carried out in connection with the Service is described in detail in the Privacy Policy, which forms an integral part of these Terms.

10. Complaints and Dispute Resolution

The Partner may submit any complaint regarding the Service to info@vantra.hu. The Service provider will investigate and respond within 15 days. If a complaint cannot be resolved directly, the Partner may refer the matter to an arbitration board or a court of competent jurisdiction.

11. Governing Law

These Terms and the legal relationship between the Service provider and the Partner are governed by the laws of Hungary, in particular Act V of 2013 on the Civil Code.

12. Changes to These Terms

The Service provider may unilaterally modify these Terms. Partners will be notified by email and via the vantra.hu website at least 30 days before any change takes effect. Continued use of the Service after such changes constitutes acceptance of the modified Terms.
